Terms of Service

1. Service Description

PersonaPlex provides a real-time voice AI API service that enables developers to integrate full-duplex, low-latency speech-to-speech capabilities into their applications. Our service processes audio streams in real-time and generates AI-powered voice responses.

2. Account and API Keys

To use PersonaPlex, you must create an account and obtain API keys. You are responsible for:

• Maintaining the confidentiality of your API keys
• All activities that occur under your account
• Notifying us immediately of any unauthorized use
• Ensuring your contact information remains accurate

3. Acceptable Use Policy

You agree not to use PersonaPlex to:

• Violate any applicable laws or regulations
• Infringe upon intellectual property rights
• Generate harmful, abusive, or deceptive content
• Impersonate individuals without consent
• Create deepfakes or synthetic media for fraud
• Harass, threaten, or harm others
• Attempt to reverse-engineer our systems
• Circumvent usage limits or security measures
• Resell access without authorization

4. Pricing and Billing

PersonaPlex operates on a pay-as-you-go pricing model:

• Standard Rate: $0.08 per minute of audio processed
• Usage is calculated based on the duration of audio streams processed
• Enterprise customers may negotiate custom pricing and volume discounts
• All prices are in USD and exclude applicable taxes

We reserve the right to modify pricing with 30 days' notice. Continued use after price changes constitutes acceptance of new rates.

5. Intellectual Property

Our IP: PersonaPlex, its API, documentation, and infrastructure are owned by Focus Labs. You receive a limited, non-exclusive license to use our service.

Your Content: You retain ownership of audio content you submit. By using our service, you grant us a limited license to process your content solely for providing the service.

Output: You own the rights to AI-generated audio output, subject to these Terms and applicable laws.

6. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. We may perform maintenance, updates, or modifications that temporarily affect availability. Enterprise customers may have specific SLA guarantees as outlined in their agreements.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FOCUS LABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

Our total liability shall not exceed the amounts paid by you in the twelve (12) months preceding the claim.

8. Indemnification

You agree to indemnify and hold harmless Focus Labs from any claims, damages, or expenses arising from your use of the service, violation of these Terms, or infringement of third-party rights.

9. Termination

Either party may terminate this agreement at any time. We may suspend or terminate your access immediately if you violate these Terms. Upon termination:

• Your API keys will be deactivated
• Outstanding balances become due
• Provisions that should survive will remain in effect

10. Modifications

We may modify these Terms at any time. Material changes will be communicated via email or service notification. Continued use after changes constitutes acceptance.

11. Governing Law

These Terms are governed by the laws of France. Any disputes shall be resolved in the courts of Paris, France. For EU consumers, mandatory consumer protection laws of your country of residence apply.
